BioLife Solutions and Repligen: Frequently Asked Questions

Repligen has acquired BioLife Solutions, a leader in cell processing tools and biopreservation media for cell therapy. This page answers the questions we hear most often from customers, partners and suppliers.

1. About the acquisition

Repligen announced that it has completed the acquisition of BioLife Solutions. By bringing together Repligen's bioprocessing expertise and BioLife's leading cell processing and biopreservation technologies, the combined company is better positioned to support customers across the rapidly growing cell therapy market.

Cell therapy is one of the fastest-growing areas of biopharma, and our customers need partners who can support the full workflow. BioLife brings a highly differentiated portfolio led by a market-leading biopreservation media platform, along with other cell processing tools. Together, we broaden what we can offer cell therapy developers and manufacturers while strengthening our position across biologics manufacturing.

No, BioLife is no longer traded independently. Repligen Corporation continues to trade on Nasdaq under the ticker RGEN. Investor materials are available in the Investors section of Repligen.com.

2. What this means for customers

Your products will remain the same. Product names, catalog numbers, specifications and formulations are unchanged, as are manufacturing processes, manufacturing locations, equipment and lot numbering. Any updates to labels or documentation are branding and legal entity updates only, and they do not affect product quality or performance.

You can continue ordering through the same channels using the same part numbers and existing pricing agreements. If anything changes in the future, we will notify you in advance through your account team and through our standard change control process.

Your existing customer account teams and contacts remain your point of contact. If we make any changes to account coverage, we will introduce your new contact directly rather than ask you to find us.

The terms of existing legal agreements remain in effect. A change in legal entity name does not alter the commercial terms you have agreed to. If a contract requires an administrative update, our team will contact you directly.

We do not expect the acquisition itself to result in immediate changes to pricing or lead time. BioLife will continue to manage pricing and lead times through its normal business processes, and any future changes will be communicated to customers in accordance with standard notification practices.

Yes. The BioLife online store continues to operate as it does. If we make changes to e-commerce, ordering, or customer support channels, we will communicate with them in advance. 

3. Quality, regulatory and documentation

The quality management system will remain unchanged on Day 1. Existing change control processes and quality release criteria will continue as is, and manufacturing processes, locations, and equipment will remain the same.

Following close, the legal entity name on certain customer-facing documents will transition from BioLife Solutions, Inc. to BioLife Solutions, LLC, a Repligen brand. Repligen branding will gradually replace previous branding on labels, certificates, packaging, websites, and product documentation. Updated copies of ISO certificates will be posted on the BioLife website once processed.

Customer notifications will be issued on the closing day. Changes to impacted documentation will commence on day one close.

4. Brand and company name

No. The BioLife brand continues at close. Any future brand decisions will be made as part of integration planning, and we will communicate them clearly and in advance. Product brands including CryoStor®, HypoThermosol®, CellSeal®, ThawSTAR® and Signata™ continue.

Following close, BioLife Solutions is part of Repligen. You may see “BioLife is now part of Repligen” in our communications, at events and on our websites during the transition.

The BioLife website remains available and will carry a notice about the acquisition. Over time, content will be consolidated with Repligen.com. Links and resources you rely on will continue to work, or will redirect.

5. Suppliers and partners

Existing purchase orders and agreements remain in place. Following close, the contracting entity will be BioLife Solutions, LLC, a Repligen company, and we will provide updated entity and remittance details along with a formal notification. Your day-to-day contacts remain the same. In addition, there are no changes to manufacturing locations, specifications, ordering procedures, shipping locations, or quality requirements.

Once you receive the formal notification, please review it carefully and update the relevant customer information on file to reflect the new company name and EIN provided. Please also complete any additional updates or forms, such as W-9 or other tax documentation, as they become available.

Existing agreements remain in effect. Repligen will review partnership commitments as part of integration planning, and we will contact partners directly about any proposed change.
